Setting up company formation in Rome starts with choosing the right legal structure. For foreign founders and non-residents, the Italian SRL (Società a Responsabilità Limitata) is the most practical vehicle: limited liability, flexible governance, and a minimum capital as low as €1. Why Form Your Company in Rome?

Rome offers strategic advantages that set it apart from other Italian cities. For businesses targeting the public sector, international organizations, or Italy's cultural economy, the capital is an obvious base.

Key reasons to register an SRL in Rome:

  • National ministry proximity. MIMIT (industry), MEF (finance), and MFA (foreign affairs) are all headquartered in Rome. Public procurement, regulatory lobbying, and government contracting are centered here.
  • International organization hub. FAO, WFP, and IFAD all have headquarters in Rome, making it the natural home for companies in agri-food, sustainability, humanitarian supply chains, and international development consulting.
  • Cultural and creative sector strength. Rome is Italy's largest market for media, architecture, design, and film. The Camera di Commercio di Roma maintains a dedicated "Imprese culturali e creative" special register section, updated March 2026, specifically for companies in these fields.
  • Tourism and hospitality ecosystem. Rome attracts 15+ million tourists annually. Hospitality, food and beverage, and travel-related services are among the most active sectors for new SRL formations.
  • Professional services demand. Law firms, consulting practices, and financial advisory firms benefit from proximity to national institutions and the EU diplomatic corps.

The Rome Formation Process, Step by Step

The legal steps for incorporating an SRL are the same across Italy. What makes Rome distinctive is the local registry (Camera di Commercio di Roma), the SARI digital filing portal, and the optional Bando Nuove Imprese 2026 grant available after incorporation. For the complete national process, see the full step-by-step incorporation guide.

  1. Obtain Codice Fiscale for all founders and directors. Required before notarization. Obtainable through an Italian consulate or Agenzia delle Entrate.
  2. Draft bylaws (statuto) and deed (atto costitutivo) with a notary. Allow 2–5 working days.
  3. Open a bank account and deposit minimum capital. The bank issues a deposit certificate needed for the deed. Allow 3–7 working days.
  4. Execute the notarial public deed before any registered Italian notary. A Rome-based notary is not legally required; any Italian notary may execute the deed.
  5. Notary deposits the deed with Registro Imprese Roma within 20 days (Art. 2330 §1 CC).
  6. Camera di Commercio di Roma issues the registration (iscrizione) within approximately 10 working days of the notary's deposit.
  7. Obtain Partita IVA via Comunicazione Unica (form AA7/10). This is typically processed the same day or the next business day.
  8. Register a PEC (certified email) address and set up SdI e-invoicing. E-invoicing via SdI has been mandatory for all businesses since 1 Jan 2024.
  9. Apply for Bando Nuove Imprese 2026 (optional). This Camera di Commercio di Roma grant of up to €2,500 is available after incorporation. See the section below for details.

Total process including bank account and VAT registration: approximately 15–25 working days.

Our Rome team coordinates every filing step, from Codice Fiscale to Partita IVA. Contact our Rome office.

Camera di Commercio di Roma, Local Registration and Grants

The Camera di Commercio di Roma is the provincial chamber of commerce for Rome and the Lazio region. It administers the local Registro delle Imprese (the official business register), collects the annual Diritto Camerale, and manages grant and support programs for newly incorporated companies.

In December 2024, the Camera di Commercio di Roma launched SARI (Supporto Specialistico Registro Imprese), a digital support portal for Registro Imprese filings. SARI allows founders and their representatives to submit and track incorporation filings online, reducing the need for in-person visits to the registry.

For companies in creative sectors, the Camera di Commercio di Roma maintains a dedicated "Imprese culturali e creative" register section, updated in March 2026. This is relevant for media production, architecture studios, design agencies, and film companies seeking registry visibility in their sector.

Bando Nuove Imprese 2026 The Camera di Commercio di Roma launched this grant program on 30 March 2026. Newly incorporated companies can receive up to €2,500 per company. Total fund: €750,000. Twenty-five percent of the fund is reserved for founders under age 35. Applications are accepted after incorporation.

Forming a Rome SRL as a Non-Resident or Foreign Founder

Foreign founders do not need to be present in Italy to form an SRL in Rome. The process accommodates non-residents through a power of attorney and remote document handling.

Key points for non-resident founders:

  • Physical presence is not required. A founder who cannot attend the notarization may grant a notarized power of attorney (PoA) to a local representative. The PoA can be executed in the founder's home country and apostilled before being sent to Italy.
  • Codice Fiscale is required. All founders and directors must obtain an Italian tax identification number (Codice Fiscale) before the notarial deed can be executed. This can be obtained through an Italian consulate abroad or via Agenzia delle Entrate.
  • Non-EU founders: condizione di reciprocità applies. Under Art. 16 Preleggi, Italy grants rights to foreign nationals whose home country grants equivalent rights to Italians. US nationals qualify under this framework. EU citizens are exempt from this requirement.

For the complete guide on incorporating as a foreign founder, see forming an SRL as a non-resident.
