Remote Formation via Power of Attorney

A non-resident founder who cannot travel to Italy can grant a Power of Attorney (Procura Speciale) to a local representative. The PoA must be notarized by a notary in the founder's home country and apostilled (or consular-legalized for countries outside the Hague Apostille Convention). The Florence notary then executes the deed on the founder's behalf.

ATECO 2025 Business Activity Classification

ATECO 2025 is Italy's updated business activity classification system, mandatory from 1 April 2025. All SRLs registered with the Camera di Commercio Firenze after that date must use ATECO 2025 codes. The new scheme replaces ATECO 2022, so competitor pages that still reference the old classification are outdated. ATECO 2025 is especially relevant for artisan, food, and wine businesses: the code assigned directly affects INPS contribution categories and, in some cases, licensing eligibility.

Artisan Register (Albo delle Imprese Artigiane)

An SRL whose primary activity is artisan production must register with the Albo delle Imprese Artigiane in addition to the standard Registro delle Imprese. This dual-registration requirement applies to companies engaged in:

  • Leather goods manufacturing
  • Artisan food production
  • Artisan restoration (furniture, artwork, architecture)
  • Jewelry and goldsmithing

The qualifying artisan (artigiano) must personally work in production, not only manage the company. Foreign founders who are not physically present in Florence can satisfy this requirement by appointing a qualified resident employee as the qualifying artisan.

Director PEC (Certified Email) Obligation

Italian law requires every SRL director to register a personal PEC (posta elettronica certificata) address with the Registro delle Imprese. Under D.L. 159/2025 Art. 13 c.3, this obligation applies from 31 October 2025 for all SRL directors, including foreign directors. Foreign directors must obtain a PEC address from an accredited Italian provider before that date. This applies Italy-wide, including all SRLs registered in Florence.

Agri-Food and DOCG Wine Licensing in Tuscany

SRLs producing or bottling wine under a Tuscany DOCG appellation (Chianti, Brunello di Montalcino, or Vernaccia di San Gimignano) must complete additional licensing steps beyond standard SRL formation. Consorzio membership and Ministero delle Politiche Agricole approval are required for production operations.

Frequently asked questions

Yes. A non-resident founder can grant a Power of Attorney (Procura Speciale) to a local representative. The PoA must be notarized by an Italian notary abroad and apostilled (or consular-legalized for non-Hague countries). The Florence notary then executes the notarial deed on the founder's behalf.

It is the local body administering the Registro delle Imprese for Florence province. When you form an SRL in Florence, the notary deposits the deed here within 20 days. If your SRL manufactures leather goods, conducts artisan food production, or performs artisan restoration, you must dual-register with the Albo alongside the Registro delle Imprese. The qualifying artisan must personally work in production.

For most foreign founders, the SRL is the appropriate choice. The SRLS (semplificata) restricts shareholders to natural persons only (Art. 2463-bis CC), which excludes foreign holding companies. SRLS also uses inderogable standard bylaws that limit flexibility. The SRL offers full structural flexibility and accommodates both individual and corporate shareholders.
